Most business agreements have a tax or compliance consequence: who deducts TDS, whether GST applies, how stamp duty is paid, whether the document has to be registered. Practical notes from our engagements

  • Eleven-month leases by habit. They avoid registration with the Sub-Registrar, but several states' tenancy laws now require tenancy agreements to be registered with, or intimated to, a Rent Authority within a fixed period — in some states even an 11-month one. For long-term premises, a registered lease is often better.
  • TDS not considered in rent or fees. If the agreement doesn't say who deducts what, disputes follow at the first payment.
  • Shareholders' agreement and articles out of step. When they conflict, the articles usually prevail for the company. Keep them aligned.

Frequently asked questions

Does a rent agreement need to be registered?

A lease of immovable property for a term of more than one year must be registered under the Registration Act, 1908. Several states also have tenancy laws — some modelled on the Model Tenancy Act, 2021 — that require tenancy agreements to be registered with or intimated to a Rent Authority within a fixed period. Some apply this even to an 11-month agreement; others exempt short residential tenancies. We check the rule in the state where the property is.

Is stamp duty payable on business agreements?

Yes, under the stamp law applicable in the state — the amount depends on the type of document and its value.

When must an LLP agreement be filed?

In Form 3 with the ROC within 30 days of incorporation, and within 30 days of any change.

Can agreements be signed electronically?

Many can, but documents that must be registered or stamped physically have specific requirements. We confirm this for each document.

Do you represent clients in contract disputes?

No. We draft and advise on agreements connected with our work; for disputes and litigation, we work alongside the client's advocate.
