Proprietorship Setup in India

There's no single "proprietorship registration" certificate — a sole proprietorship is simply an individual doing business under their own name or a trade name, with no separate legal identity of its own. What actually establishes a proprietorship in practice is a combination of registrations — GST, Udyam, professional tax, a Shop & Establishment licence — taken in the proprietor's own name. Why there's no single registration certificate

A proprietorship isn't incorporated or registered as an entity the way a company or LLP is — there's no Certificate of Incorporation to obtain, because there's no separate legal person being created. The proprietor is personally the business, which is both the structure's main appeal (simplicity, minimal compliance, full control) and its main risk (unlimited personal liability for business debts).

In practice, "setting up" a proprietorship means obtaining whichever combination of registrations the specific business actually needs — a bank generally wants to see at least one or two of these before opening a current account in the business's trade name, which is often the first practical trigger for a new proprietor.

The registrations that typically establish a proprietorship

  • GST registration — once turnover crosses the applicable threshold, or the business falls into a compulsory category.
  • Udyam (MSME) registration — free, and gives access to MSME-specific benefits; see our dedicated Udyam registration page.
  • Shop & Establishment registration — required for most commercial premises under the Shops and Establishments Act of the state where the business operates.
  • Professional tax registration — where the business operates in a state that levies professional tax.
  • A current account in the trade name — most banks ask for at least a GST certificate or Shop & Establishment registration before opening one.
  • Sector-specific licences — FSSAI for a food business, an IEC for import/export, and others depending on the trade.

Documents required

  • PAN and Aadhaar of the proprietor.
  • Address proof of the proprietor and of the business premises.
  • Passport-size photograph.
  • Bank account details, or documents to open one in the trade name.
  • Any sector-specific documents needed for a licence particular to the trade.

The setup process, step by step

  1. Confirming which registrations actually apply

    Rather than obtaining every possible registration by default, the specific combination is assessed against the business's actual turnover, trade, and premises.

  2. Udyam registration

    A free, self-declaration-based registration, typically obtained early since it supports several other applications and access to MSME benefits.

  3. GST registration, if applicable

  4. Shop & Establishment and other local registrations

    Applied for based on where the business operates and what it does.

  5. Bank account

    A current account in the trade name is opened once the relevant registrations are in hand.

Practical notes from our engagements

  • Registrations obtained speculatively, "just in case." Not every proprietorship needs every registration — GST specifically should only be obtained once it's actually required, since it brings a genuine monthly compliance obligation with it.
  • Personal and business finances not kept separate. Even though there's no legal separation between the proprietor and the business, keeping a dedicated business bank account and clear records makes tax filing, and any later conversion to a company or LLP, considerably easier.
  • Unlimited liability underestimated. Because there's no separate legal entity, a business debt or legal claim can reach the proprietor's personal assets — this is worth weighing honestly against a company or LLP structure once the business carries real risk or scale.
